Deal Registration Program
Check Point Software Technologies Ltd. (“Check Point”) is pleased to offer you the opportunity to join our new Deal Registration Program (“Program”). Under this Program, you will receive credit for replacing competitor’s products with Check Point Security Appliances (“Check Point Appliance(s)”) and/or Check Point software products that you sell to your potential customers (as further explained below) as well as for selling Check Point Appliances and software products to New Customers (as defined below).
This Program is offered to you if you are a Check Point certified Reseller (non- employee of Check Point) as authorized by Check Point (“Certified Reseller”), and provides you with the opportunity to earn credits on specific registered and approved deals from Check Point. If you wish to participate in this Program, please read the below Terms and Conditions and follow the steps listed to register.
Deal Registration Program Terms and Conditions:
Replace a Competitor Vendor Product with Check Point Appliance and/or Software to Earn Credit:
If you qualify to participate in this Program, you are eligible to earn credit for every replaced competitive vendor product with Check Point Appliance and/or software products equivalent of 20 % (twenty percent) points which will be discounted from Check Point’s Appliance and/or software products, in addition to your existing discounts from your distributor for the sale of Check Point Appliances and/or software products. To qualify for such credit, you must provide Check Point with a letter of decommission for the competitive vendor product as well as the requested information relating to the potential deal and register it in the Program.
Sale of Check Point’s Software Products and/or Check Point Appliances to New Customers:
If you qualify to participate in this Program, you are eligible to earn credit for every sale of Check Point’s software products and/or Check Point Appliances to New Customers. For the purpose of this Program, New Customer is defined as a potential customer who has not yet purchased any products or services from Check Point, directly or indirectly, since January 2010. The credit you will earn for selling to a New Customer will be equivalent of 20 % (twenty percent) points which will be discounted from Check Point’s software products and/or Appliances, in addition to your existing discounts from your distributor for the sale of Check Point software products and/or Appliances. To qualify for such credit, you must provide Check Point with the requested information relating to the potential deal and register it in the Program.
Program Period:
The Program will run from February 7rd, 2013 until June 30th, 2013 (“Term”). Check Point may extend the Term for an additional period at its sole discretion. Check Point reserves the right to suspend, change or terminate the Program at any time, in which event notification of such changes will be posted.
Eligibility:
To be eligible to participate, you must be a Certified Reseller. Check Point distributors and their employees cannot participate in this program. By participating, all entrants agree to be bound by these terms and conditions.
Purchase Order:
Upon receipt of Check Point’s approval of your deal registration on your PartnerMAP account and/or via e-mail, please contact your local Check Point representative and request that they place a Non-Standard Pricing Request (“NSP”). Upon replacement of appliances of competitor vendors with Check Point Appliances and/or software products and/or upon consummation of a sale to a New Customer, your NSP will be approved and you will be required to place a Purchase Order via your distributor in order to be eligible for the credit. The Purchase Order placed must include your unique Deal Registration ID and the approved NSP number.
Check Point Products included under the Program:
For replacement of competitor appliances, only Check Point Appliances (as defined above) and/or software products are eligible under this Program and only replacement with purely Check Point Appliances and/or software products will entitle you to the credit. For the avoidance of any doubt, any other Check Point items listed in the Check Point price list, such as but not limited to, support services, professional services and accessories are not included under this Program. For sale of products to New Customers, Check Point’s software products and/or Check Point Appliances are eligible under this Program and only sale of purely Check Point Appliances and/or software products will entitle you to the credit.
Replacement of Competitor Products:
Competitor’s product can be replaced with any Check Point product. The replaced product price should be at least 80% of the Check Point product price. Competitive Replacement Matrix (“Matrix”), providing guidelines and examples, can be found on the Promotions Page on the PartnerMAP portal. Check Point may, at its sole discretion, grant credit for replacement of a competitor vendor and/or product NOT listed on the Matrix. To place such requests please contact dealreg@checkpoint.com prior to registering the deal on PartnerMAP. Check Point will review such requests on a case-by-case basis and its decision will be final and binding.
Additional Terms:
(a) Credits provided under the Program will be given to Certified Resellers via their respective distributors. It is the Certified Resellers’ responsibility to obtain such credit from the distributors. Check Point will not be held liable for distributor’s acts pursuant to the Program and the Certified Reseller shall not have any claims and/or demands against Check Point in this respect. (b) In the event that a customer submits an order to Check Point using a different Certified Reseller than the one who registered the deal and was approved by Check Point, the latter will not be entitled to the credit offered under the Program and will not be compensated by Check Point in any way for such loss of the deal. (c) In the event of a conflict resulting from double approval of deal registrations, the Certified Reseller replacing competitor’s products and/or selling to New Customers Check Point Appliances and/or software first, will earn the credit offered under this Program. Check Point will not be held liable for any loss of the deal by a Certified Reseller and such Certified Reseller shall not have any claims and/or demands against Check Point regarding any credit given to another Certified Reseller for closing a deal similar to the deal registered by him and approved by Check Point.
Your conduct under this Program:
The manner and means by which you choose to perform under this Program are at your reasonable discretion and control; however your performance shall be conducted in a professional manner and in full compliance with all applicable laws.
Ownership:
You do not acquire any rights, title or interest in or to Check Point’s Appliances and/or products and/or services under this Program. Check Point is the sole owner of all intellectual property rights contained in the Program and in its website, including text, data, product information, computer programs, trademarks and logos, images and pictures contained therein, except where otherwise stated. Replication, copying, altering, adapting, modifying, reverse engineering, distributing or any activity in dealing with the content of the Program is prohibited without the prior written consent of Check Point.
Independent Contractors:
Your relationship with Check Point is of an independent contractor, and nothing in this Program should be construed to create a legal partnership, joint venture, agency, employer-employee relationship or other form of joint enterprise between you and Check Point. You are not an agent of Check Point and are not authorized to make any representation, contract, or commitment or incur any liabilities whatsoever on behalf of Check Point. You are not entitled to any of the benefits that Check Point may make available to its employees.
No Publicity:
You may not issue any publicity or general marketing communication concerning this Program without the prior written consent of Check Point.
Limitations on Liability:
You agree that Check Point shall have no liability whatsoever for and shall be held harmless by You for any liability for any injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of or inability to use this Program or from participation or inability to participate in this Program. Persons who tamper with or abuse any aspect of the Program will be disqualified, and Check Point may terminate such entrant's eligibility. Check Point is not responsible for any incorrect or inaccurate information submitted under this Program, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program, and assumes no responsibility for any error, interruption, deletion, delay in operation, or transmission, communications line failure, or unauthorized use of any technology used in connection with this Program.
Disputes and Governing Law:
Any disagreement between you and Check Point regarding eligibility for a deal registration or any other matter relating to this Program shall be resolved by the authorized Check Point representative, whose decision shall be final. This Program shall be governed by the laws of the state of Israel. Void where prohibited by law.
